Terms & Conditions

General Terms of Service for Semura Software BV (“Semura”), registered in the Netherlands.

1. Scope & Target Audience

Semura Software BV provides software licensing (Semura Nexus) and professional software engineering/integration services exclusively to commercial entities (B2B), including IoT integrators, sensor manufacturers, and solution providers. Semura does not provide services directly to consumers.

2. Software Licensing (Semura Nexus)

Semura Nexus is licensed on a subscription basis (per registered device per month) under a master software agreement. Nexus is delivered as a containerized package (Helm chart) intended for deployment in the customer’s own infrastructure. Semura grants a non-exclusive, non-transferable license to deploy and operate the software for agreed fleets and tenant boundaries.

3. Deployment, Hosting & Data Responsibility

Semura Nexus operates self-hosted inside the customer’s Kubernetes environment. The customer retains full ownership, control, and legal responsibility for data storage, backup retention, network connectivity, hardware sensors, and regulatory compliance of their connected devices. Semura does not host or store customer sensor telemetry on its own servers.

4. Professional & Advisory Services

Integration, onboarding, and advisory services are performed on a time-and-materials (hourly/daily rate) or fixed-scope basis as specified in written work orders. Deliverables are accepted upon completion of agreed milestone criteria.

5. Intellectual Property

All intellectual property rights in the Semura Nexus platform, documentation, templates, and proprietary algorithms remain vested in Semura Software BV. Custom integration code authored specifically for a customer under work orders is licensed or transferred in accordance with the applicable statement of work.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Semura shall not be liable for indirect, incidental, or consequential damages arising from hardware failures, network provider outages, or third-party sensor telemetry inaccuracies. Semura’s total aggregate liability under any agreement is limited to the fees paid by the customer in the preceding twelve (12) months.

7. Applicable Law & Jurisdiction

These terms and all commercial agreements are governed exclusively by the laws of the Netherlands. Any disputes arising in connection with these terms shall be submitted to the competent court in the Netherlands.
